These Terms of Service ("Terms") govern your access to and use of Align, an AI personal assistant called Tracy that helps you manage tasks, your schedule, and information about the people in your life (the "Service"). If you do not agree to these Terms, do not use the Service.

1. Eligibility

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of the Service

Align provides Tracy, an AI assistant for managing tasks, your schedule, and relationships with people in your life — not merely a task-management interface. The Service includes a default AI engine (Google Gemini) at no additional setup cost to you. You may optionally connect your own API key for Gemini, OpenAI, Anthropic, Groq, or a self-hosted model instead of using the default engine. Using your own key is entirely optional; if you choose to, you are responsible for any costs, usage limits, and terms imposed by that provider, and we are not responsible for them.

3. Your Account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly if you become aware of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to keep your credentials secure.

4. Acceptable Use

You agree not to use the Service to engage in anything illegal, infringing, abusive, or harmful. Without limiting the foregoing, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Infringe the intellectual property, privacy, or other rights of any third party;
• Harass, abuse, threaten, or harm another person, or upload content about others without a lawful basis to do so;
• Attempt to break, disable, overload, or impair the Service or the servers or networks connected to it;
• Scrape, data-mine, or use automated means to access the Service outside of its intended interfaces;
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service, except where applicable law permits it;
• Misuse, access without authorization, or interfere with other users' data or accounts.

5. Your Content

You retain ownership of the content you add to Align — your tasks, calendar events, notes, information about people in your life, and chat messages ("Your Content"). You grant Align a limited, non-exclusive license to store, process, transmit, and display Your Content solely to operate and provide the Service to you. You are responsible for Your Content and for having the necessary rights to submit it, including where it concerns other people.

6. AI Output Disclaimer

Tracy's responses, suggestions, and generated content are produced by artificial intelligence and may be inaccurate, incomplete, or out of date. AI output is not professional legal, medical, financial, or other expert advice, and should not be relied upon as such. You are responsible for reviewing and verifying any AI-generated output before acting on it, including tasks, schedule changes, and information Tracy records or suggests about you or others.

7. Third-Party Services

The Service relies on and integrates with third-party services, including Google (for Firebase authentication, storage, and the default Gemini AI engine) and, if you enable them, other AI providers or integrations (such as OpenAI, Anthropic, Groq, self-hosted models, or Google Calendar/Gmail). These third-party services are governed by their own terms and privacy policies. We do not control and are not responsible for third-party services, including their availability, accuracy, or handling of your data.

8. Intellectual Property

Align, the Tracy name and branding, and the underlying software are owned by [LEGAL ENTITY NAME] and are protected by intellectual property laws. These Terms do not grant you any rights to Align's intellectual property beyond the limited right to use the Service as intended.

9. Privacy

Our collection and use of your personal data is described in our Privacy Policy, which forms part of these Terms.

10. Termination

You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe your use poses a risk to the Service, other users, or us. Upon termination, your right to use the Service ends immediately; provisions of these Terms that by their nature should survive termination (including Sections 6–8 and 12–14) will continue to apply.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Align or its officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of the amount you paid us in the twelve months preceding the claim, or [LIABILITY CAP AMOUNT].

13. Indemnification

You agree to indemnify and hold harmless Align and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service or your violation of these Terms.
